Affiliate Program Terms & Conditions

Grace Cat affiliate program is free and enables members to earn revenue by placing their affiliate link or code on their website or social media e.g. Facebook, Twitter, Instagram, Youtube, LinkedIn and etc to advertise Grace Cat products. Any sales made by customers who have clicked on the affiliate links or check out using the affiliate code will earn affiliate commission (Affiliate members must not use the affiliate tracking code for their own purposes). 

​Joining the Program

By filling up the signup form, and upon acceptance, you will become an affiliate and are bound by the terms of this agreement. Your participation in the program is solely for this purpose: to legally advertise our website to receive a commission on products purchased by your referred individuals.

Account Registration & Terms

You must provide your legal full name, a valid email address and any other information requested in order to complete the sign up process for an Affiliate account (“account”).

You must be 18 years of age or older to join this Program.

Each account is for use by either a single legal entity (e.g. a company or a partnership) or an individual user. We do not permit you to share your user name and password with any other person nor with multiple users on a network. Responsibility for the security of any user names and passwords issued (including those of any Invitees) rests with you.

Affiliate Responsibilities

It is understood that you will introduce Grace Cat products and services to your current and prospective customers and will comply with all laws as well those that govern email marketing and anti-spam laws. You will be solely responsible for the development, operation and maintenance of your site and for all materials that appear on your site. Grace Cat reserves the right to accept or reject any prospective customers and will pay you a commission per customer referred using your affiliate link according to the designated payment schedule. Either you or Grace Cat may terminate the Affiliate relationship at any time. You are only eligible to earn Affiliate payments during your time as an approved Affiliate. 

Affiliate Links / Code

You may use graphic and text links / code both on your website and in emails. The site may also be advertised “offline” in classified ads, magazines and newspapers. You may use the graphics and text provided to you by us, or you may create your own as long as they are deemed appropriate according to this policy.

Affiliate Link Tracking

When a web surfer clicks through your affiliate link, a cookie is set in their browser that contains your affiliate username. Also, their IP address is tracked in the database along with your affiliate name. When this person decides to buy a product, the script will look for this cookie and/or try to match their IP address to identify the affiliate who will be awarded the commission. Visitors sent through your affiliate link may make a purchase later in time and the commission will still be awarded if the cookie is present in their browser and/or they are using the same IP address as the one logged in the database.

Link Tracking / Cookies: 14 Days

A summary of sales activity and statement of commission are available to the Affiliate by logging into their Affiliate account.

Affiliate members are not allowed to use their affiliate link / code to claim the commission.

Commission

The standard commission rate is currently 8% subject to Grace Cat’s discretion, unless otherwise stated.

The commission is calculated from the net shopping basket value corresponding to the amount that the Customer pays for a product minus shipping fee, where charged separately (the “Net Shopping Value”).

The payout to the Affiliate equals the Net Shopping Value multiplied by the commission rate applicable to the product.

The commission structure is subject to change at our discretion.

Customer payments refunded or payments charged-back due to credit card fraud do not qualify for commission. We may delay crediting of commissions subject to risk analysis considerations and Anti-Money Laundering procedures.

We reserve the right to disqualify commission earned through fraudulent, illegal, or overly aggressive, questionable sales or marketing methods.

We reserve the right to check and change commissions on the basis of orders actually paid, the notification e-mail is not understood as a confirmed commission – this is only a notification, and every payment will be verified based on real transactions.

Payment

The Affiliate may request for payout of the accrued commissions which will be paid via bank transfer once per month and only when your unpaid commissions total RM10 or more. You must have a valid bank account to receive referral fees, as we do not offer payment via cheque/check, credit card, cash or other method.

The Affiliate will be paid within seven (7) working days from the date of payout request.

All commissions are exclusive of all taxes, charges, levies, assessments and other fees of any kind imposed on your involvement in this Agreement and shall be the responsibility of, and payable by you. If the payment is subject to withholding taxes, Grace Cat shall deduct such taxes from the payment, pay the Affiliate the net amount and concurrently provide the Affiliate with a certificate or any equivalent document of withholding tax.

Affiliate Relationship

This Affiliate relationship is one of independent contractors. Grace Cat will not be liable for indirect, special or consequential damages arising in connection with this program and our aggregate liability arising with respect to this program will not exceed the total referral fees paid or payable to you. Grace Cat makes no express or implied warranties or representations with respect to the program. In addition, Grace Cat makes no representation that the operation of the service will be uninterrupted or error-free, and Grace Cat will not be liable for the consequences of any interruptions or errors. Grace Cat is located in Malaysia and the program is governed by the laws of Malaysia.

Revocation of Affiliate Status

Your affiliate application and status in the program may be suspended or terminated for any of the following reasons:

  • Inappropriate advertisements (false claims, misleading hyperlinks)

  • Illegal spamming (mass email, mass newsgroup posting, etc.)

  • Advertising on sites containing/promoting illegal activities

  • Violation of intellectual property rights

  • Unauthorized Google Ads

  • Inability to setup links or refer clients to Grace Cat (lack of performance)

Customer Definition

Every customer who buys a product through this program is deemed to be a customer of Grace Cat. Accordingly, all of our rules, policies and operating procedures concerning pricing, customer orders, customer service and services sales will apply to those customers. We may change our policies and operating procedures at any time. Grace Cat is not responsible for any representations made by the Affiliate that contradict our rules, policies or operating procedures.

Product Pricing & Availability

Grace Cat will determine the prices to be charged for products sold under this Program in accordance with our own pricing policies. Products prices and availability may vary from time to time. Because price changes may affect products that you have listed on your site, you should not display product prices on your site. We will use commercially reasonable efforts to present accurate information, but we cannot guarantee the availability or price of any particular product.

Terms of the Agreement

These terms will begin upon your signup with the affiliate program and will end when your affiliate account is terminated. The terms of this agreement may be modified by Grace Cat at any time. If any modification to the terms is unacceptable to you, your only choice is to terminate your affiliate account. Your continuing participation in the program will constitute your acceptance of any change.

Liability

Grace Cat will not be liable for indirect or accidental damages (loss of revenue, commissions) due to affiliate tracking failures, loss of database files, and any results of “intents of harm” to the program or our website. We do not make any expressed or implied warranties with respect to the affiliate program and/or products sold at this site. We make no claim that the operation of the affiliate program and our website will be error-free and we will not be liable for any interruptions or errors.
